This Amended and Restated Fuel Supply Agreement (this "Agreement”) dated effective as of January 1, 2000 (the "Effective Date") shall evidence the agreement between ENRON POWER OIL SUPPLY CORP., a corporation organized under the laws of Delaware ("EPOS"), as seller, and PUERTO QUETZAL POWER CORP., a corporation organized under the laws of Delaware and qualified to do business in and contracting through its branch in Guatemala, with offices located in Guatemala City, Guatemala ("PQPC"), as buyer, to hereby amend, restate and replace that certain Fuel Supply Agreement dated December 31, 1995 between PQPC and EPOS with the following terms and conditions pursuant to which EPOS agrees to sell and deliver and PQPC agrees to purchase and receive the hereinafter described product:

This AMENDED AND RESTATED FUEL SUPPLY AGREEMENT (this “Agreement”) is made this 15th day of March 2023 (the “Restated Execution Date”) by and between GEVO, INC., a Delaware corporation having its principal office at 345 Inverness Drive South, Building C, Suite 310, Englewood, Colorado 80112 (“Gevo”) and KOLMAR AMERICAS, INC., a Delaware corporation having its principal office at 10 Middle Street, Penthouse, Bridgeport, Connecticut (“Kolmar”). This Fuel Supply Agreement (the “Agreement”), effective as of August [ ● ], 2015 (the “Effective Date”), is made and entered into between Empire Petroleum Fuel Distribution, LLC, a Delaware limited liability company (the “Seller”), Quik-Way Retail Associates II, Ltd., a Texas limited partnership (“QWRA II”), and Empire Commercial Fueling, LLC, a Maryland limited liability company (“ECF” and together with QWRA II, the “Purchasers” and each a “Purchaser”), each with a business address of 8350 North Central Expressway, Suite M2185, Dallas, Texas 75206. The above-named entities are sometimes referred to in this Agreement each as a “Party” and collectively as the “Parties.” Seller, Purchasers and Empire Petroleum Services, LLC (“Empire Services”) are subsidiaries of Empire Petroleum Partners, LP (the “Partnership”). Each of ECF and QWRA II are wholly owned subsidiaries of Empire Services.
